Valuing Family Entities: Update on the new IRS guidelines and court rulings

In its recent decisions, the Tax Court has demonstrated an unprecedented level of aggressive involvement in the valuation of family entities.

Join our speakers, Steve Akers of Bessemer Trust and William H. Frazier of HFBE, as they delve into how these recent developments will affect your estate planning.

Steve and William will focus on:

  • How the court’s stance regarding valuations has become more aggressive with its decisions in Gallagher and Holman.
  • Recent precedent regarding the valuation of family entities including:
    • The unusual value weighting in Giustina;
    • The inclusion of family assets under Internal Revenue Code Sections 2036 (a)(1) and (a)(2) in Turner; and
    • The Hendrix court’s upholding of the defined value clause.
  • The IRS’ newly issued guidelines and the issues now faced by estates of 2010 decedents making the carry-over basis election.

William Frazier is the Principal and Owner of HFBE, Inc..
Since 1975, involved principally in general investment banking activities with two regional firms headquartered in Houston, Texas. Activities included, in order of concentration of effort, are: (1) the valuation of closely held entities and (2) advisory opinions to boards of directors, (3) the sale, merger or acquisition of corporations to other corporations or entities, (4) venture capital financing, (5) the securing of long-term capital for corporations through the public offering of common stock or bonds and (6) the private placement of securities to institutional buyers.

 

Steve Akers is a Managing Director with Bessemer Trust in Dallas, Texas where he is Fiduciary Counsel, Southwest Region.
Mr. Akers is a member of the Advisory Committee to the University of Miami Philip E. Heckerling Institute on Estate Planning and is a frequent speaker at that Institute, as well as other estate planning seminars across the country. He is a past Chair of the American Bar Association’s Section of Real Property, Trust & Estate Law and continues to serve on various committees of that Section. He is a Fellow of the American College of Trust and Estate Counsel, and currently serves as a Regent, as the Editor of the ACTEC Journal and as a member of the ACTEC Long Range Planning Committee. He is a past Chair of the State Bar of Texas Real Estate, Probate and Trust Law Section and of the Dallas Bar Probate, Trusts and Estates Section. He is a co-author of A Planning Guide to Buy-Sell Agreements.
